Terms of Service | Aether AI Labs

1. Who you are contracting with

Prop Elite and this website are operated by Aether AI Labs, a business registered in Malaysia under SSM registration number 202603189096 (003871416-X), with its business address at 43 Tringkap, 39100 Brinchang, Pahang, Malaysia.

In these terms, "we", "us" and "our" mean Aether AI Labs. "You" means the business or individual that opens an account or engages us for development work. You can reach us at [email protected].

2. Accepting these terms

By creating an account, starting a free trial, subscribing, or instructing us to begin development work, you agree to these terms. If you are agreeing on behalf of a company, agency or firm, you confirm you are authorised to bind it.

If you do not agree, do not use the service.

3. Who may use the service

You must be at least 18 years old and able to enter a binding contract.
Prop Elite is sold for business use by real-estate agencies and their agents, not for personal or household use.
You are responsible for the accuracy of the account, agency and billing information you give us.
You are responsible for everything that happens under your account, including the actions of users you invite. Keep credentials secure and tell us promptly at [email protected] if you suspect unauthorised access.

4. Subscriptions, seats and billing

Prop Elite is priced per seat and sold one month of access at a time. Current plans and prices are shown on aetherailabs.net and inside the app before you confirm a purchase. All prices are in Malaysian Ringgit (MYR).

Access is prepaid. You pay for one month at a time, and the workspace stays open until that paid period ends.
Auto-renew is optional and stays off unless you turn it on. With it on, you authorise a direct debit (FPX) or card mandate once and each following month is billed automatically, until you turn it off.
Without auto-renew, you renew manually from the billing screen whenever you choose to continue. Nothing is charged unless you start the payment yourself.
A seat is a named user in your workspace. Adding seats mid-period is charged pro rata for the days remaining in that period; removing seats takes effect at the next renewal.
Payments are processed by our payment provider, Curlec by Razorpay. Card and bank details are handled by the provider — we do not receive or store your full card number.
Applicable taxes, including Malaysian service tax where it applies to us, are shown before you confirm payment.

We remind you 7 days and 1 day before a paid period ends. If a period ends unpaid, the workspace becomes read-only immediately — see the Refund and Cancellation Policy.

5. Free trial

New workspaces start with a 14-day free trial. No payment details are required to sign up, and none are held during the trial.
The trial gives access to the plan features described at signup, and may exclude features that carry a third-party cost.
A trial never turns into a charge on its own. When it ends, the workspace returns to the activation step and waits there until you make your first payment.
We may withdraw or vary trials for future signups at any time. That does not affect a trial already running.

6. Changes to prices

We may change subscription prices. We will give you at least 30 days' notice by email or in-app before a change applies to your renewals. If you do not accept the new price you may cancel before it takes effect.

7. Your data

You keep ownership of everything you and your users put into Prop Elite — your listings, leads, client records, transactions and commission data.

You grant us only the limited licence needed to host, process, back up and display that data so we can provide the service to you. We do not sell it, and we do not use it to build a competing product.

For personal data your agency uploads about clients and leads, you act as the data user and we act on your instructions. You are responsible for having a lawful basis and any consent required under the Personal Data Protection Act 2010. How we handle personal data is set out in our Privacy Policy.

You can export your data at any time while your subscription is active.

8. Our platform

We own Prop Elite, this website, and the software, design and documentation in them. Nothing in these terms transfers that ownership to you. You receive a non-exclusive, non-transferable right to use the service for your business while your subscription is current.

If you send us feedback or suggestions, we may use them without obligation to you.

9. Acceptable use

Your use of the service must comply with our Acceptable Use Policy, which forms part of these terms.

10. Availability and support

We aim to keep the service available at all times, but we do not guarantee uninterrupted access. Planned maintenance is scheduled outside Malaysian business hours where practical, and we give notice where a material interruption is expected.
Support is available by email at [email protected] during Malaysian business hours.
We may change, add or remove features. We will not make a change that materially reduces the core functionality of your plan without notice.

11. Custom software development

Development projects are separate from a Prop Elite subscription and are governed by a written proposal, quotation or statement of work agreed with you. Where that document conflicts with these terms, that document prevails for that project.

Scope, milestones, fees and payment schedule are set out in the project document. A deposit is normally payable before work begins.
Project fees are invoiced and settled by bank transfer unless we agree otherwise in writing.
Intellectual property in bespoke deliverables transfers to you on receipt of payment in full. We keep ownership of our pre-existing tools, libraries and know-how, and grant you a licence to use them as embedded in the deliverable.
You will provide the access, content, approvals and decisions the project needs. Delays on your side move agreed dates accordingly.

12. Suspension and termination

Because access is prepaid, there is nothing to cancel: simply do not renew, and access ends when the paid period ends. If auto-renew is on you can turn it off at any time from the billing screen, and access continues to the end of the period you have already paid for.
We may suspend or terminate access if you breach these terms or the Acceptable Use Policy, if payment remains outstanding, or if we are required to by law.
Where a breach can be fixed, we will normally tell you and give you a reasonable chance to fix it first.
On termination your right to use the service ends. Data retention and deletion after termination are described in the Refund and Cancellation Policy and the Privacy Policy.

13. Disclaimers

Prop Elite helps you record transactions and calculate commission, tax and payout figures from the data and rules you configure. Those outputs depend on the accuracy of what you enter.

The service is not legal, tax, accounting, valuation or regulatory advice. You remain responsible for your agency's compliance with the laws that apply to it, including real-estate licensing requirements, the Anti-Pyramid Scheme Act 1993, tax obligations, and the Personal Data Protection Act 2010. Verify figures before relying on them for a payment, a filing or a contract.

To the extent permitted by law, the service is provided "as is" and we exclude implied warranties of merchantability and fitness for a particular purpose.

14. Limitation of liability

Nothing in these terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.

Subject to that, we are not liable for loss of profit, loss of business, loss of goodwill, or indirect or consequential loss. Our total liability arising out of or in connection with the service in any 12-month period is limited to the amount you paid us for the service in the 12 months before the claim arose.

15. Indemnity

You will indemnify us against claims, losses and reasonable costs arising from your breach of these terms or the Acceptable Use Policy, or from content or personal data you put into the service without the rights or consents required.

16. Changes to these terms

We may update these terms. We will post the revised version here and update the date shown above. Where a change materially affects your rights we will give at least 30 days' notice by email or in-app before it takes effect. Continuing to use the service after that means you accept the revised terms.

17. Governing law

These terms are governed by the laws of Malaysia, and the courts of Malaysia have exclusive jurisdiction over any dispute arising from them.

If any provision is found unenforceable, the rest stays in force.
